CognitoDoc Software License Agreement

Effective Date: the date you first install or use the Software

These license terms form a legal agreement between you (an individual or a single entity) and **INNOWARE LTD**, a company registered in England and Wales with company number [14918694], trading as CognitoDoc ("**Licensor**"). They apply to the CognitoDoc desktop software (the "Software"), including any updates, documentation, and supplementary components.

BY INSTALLING, COPYING, OR USING THE SOFTWARE, YOU ACCEPT THESE TERMS. IF YOU DO NOT ACCEPT THEM, DO NOT INSTALL OR USE THE SOFTWARE.


0. Definitions

1. License Grant and Scope

The Software is licensed, not sold. Licensor grants you a non-exclusive, non-transferable, revocable license to install and use the Software strictly according to your purchased plan.

1.1 License Types and Device Limits

Personal Licenses are permitted for personal use and individual freelance or sole proprietor commercial activity. Business License required for use within any company, corporation, partnership, LLP, charity, school, government, or non-profit — regardless of size.

1.2 Commercial Use Distinction

1.3 Transfer to Another Device

You may uninstall the Software from one Device and reinstall it on another, provided the total number of active installations never exceeds your plan limit.

1.4 Concurrent Use

Only one instance of the Software may run per licensed Device at any time.

1.5 Lifetime License (Ultimate Plan)

The Ultimate Plan grants a non-upgradable license to all 1.x versions of the Software (including minor updates and bug fixes). Major versions (e.g., 2.0, 3.0) are separate products and may require a new purchase or upgrade fee at Licensor’s discretion.

1.6 Self-Hosted Server (Business License Only)

You are solely responsible for procuring, securing, maintaining, and backing up the server environment, all data, and user access. Licensor provides the server component “AS IS” and is not liable for data loss, security breaches, downtime, or any third-party claims arising from your self-hosted deployment.

Except where required by applicable law or third-party open source licenses, you must not:

Licensor does not claim ownership of Your Content.

3.1 Local Content

Your documents and knowledge base files remain exclusively on your Device(s). Licensor does not access, store, or process them. You are responsible for backups and legal rights to all content you process.

3.2 AI Service Inputs

When using third-party AI services (e.g., OpenAI, Google), you direct the Software to send inputs to them. You are responsible for complying with their terms. Warning: Third-party AI providers may retain your inputs/outputs — review their privacy policies before use.

3.3 License to Licensor (Technical Use Only)

You grant Licensor a limited, worldwide, royalty-free license to use anonymized telemetry, crash logs, and usage data only to provide support and improve the Software — excluding all local documents and knowledge base content.


4. Privacy and Data Processing

The Software uses Firebase for authentication, license validation, and subscription management. Your use is subject to these Terms and Firebase’s policies.


5. Code of Conduct

You must not:

You are solely responsible for all content you create, process, or generate using the Software, including any outputs from third-party AI services.

Licensor is not liable for:

6. Account, Payment, and Termination

6.1 Account Activity

You must log in at least once every 24 months to keep your account active. Licensor may close inactive accounts or those with expired subscriptions.

6.2 Account Closure

Upon closure, online features (authentication, updates) cease immediately. Local files remain on your Device, but the Software may stop functioning without license validation.

6.3 Termination by Licensor

Licensor may terminate this agreement immediately for material breach (e.g., piracy, organizational misuse of Personal License). You must cease use and destroy all copies.

6.4 Payment, Renewal, and Refunds

Payments are PCI DSS compliant. Disputes: Contact us first; unresolved claims via Stripe's billing dispute process.


7. Third-Party Components

The Software integrates with Firebase, OpenAI, Google AI, Ollama, and open source libraries (see Schedule B). You must comply with their terms. Licensor is not liable for third-party services.


8. Updates and Support

Licensor may release updates at its discretion. Active subscriptions include all updates. Lifetime License includes only 1.x updates.


9. Feedback

Any feedback, ideas, or suggestions you provide ("Feedback") grants Licensor a worldwide, royalty-free, perpetual, irrevocable license to use, modify, and incorporate it into any product without compensation.


10. Warranty and Liability

10.1 No Warranty

THE SOFTWARE IS PROVIDED "AS IS". LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10.2 Limitation of Liability

Your sole remedy for any claim is direct damages up to the greater of £50 or the amount you paid in the last 12 months. Licensor is not liable for consequential, indirect, or incidental damages.

This does not affect statutory rights that cannot be waived under your local law.


11. Export Compliance

You will comply with all applicable UK, EU, and US export and re-export control laws, including restrictions on encryption and AI models.


12. Governing Law and Dispute Resolution

12.1 Governing Law: This Agreement is governed by the laws of England and Wales.

12.2 Mandatory Local Rights: Nothing in this Agreement affects statutory or consumer rights that cannot be waived under the laws of your country of residence (e.g., EU withdrawal rights, UK Consumer Rights Act).

12.3 Jurisdiction: Except where prohibited by mandatory local law, you and Licensor agree to the exclusive jurisdiction of the courts of London, England.
